mcSkinningBee Terms and Conditions of Sale

Version dated September 15, 2026

1. Purpose and Scope

These Terms and Conditions of Sale (the “Terms of Sale”) govern distance sales of commercial licences for the mcSkinningBee software made through www.bearofspades.com, through an official payment page linked from that website, or by any other method expressly authorized by Bear of Spades.

They apply to purchases made:

  • by an individual acting for purposes outside their trade, business, craft, or profession (a “Consumer”); or
  • by an individual or legal entity acting for professional purposes (a “Business Customer”).

The Consumer and Business Customer are each referred to as the “Customer.”

These Terms of Sale govern the sale of commercial licences. The installation, activation, and use of mcSkinningBee are separately governed by the mcSkinningBee Software Licence Terms (the “Licence Terms”), which the Customer must also accept.

2. Seller Identification

As of the date of this version, Bear of Spades benefits from the French VAT exemption regime known as franchise en base de TVA. Where this regime applies to an invoice issued directly by Bear of Spades, the invoice states: “TVA non applicable, article 293 B du Code général des impôts.”

3. Contractual Documents and Order of Priority

The contract applicable to an order consists of:

  1. the product, licence, duration, and price information presented before the order;
  2. any specific terms expressly agreed by the parties;
  3. these Terms of Sale in the version accepted by the Customer;
  4. the Licence Terms in the version accepted by the Customer;
  5. the Bear of Spades Privacy Policy; and
  6. any applicable Third-Party Notices.

In the event of a conflict, expressly agreed specific terms prevail over these Terms of Sale for the relevant order. These Terms of Sale prevail on matters relating to the sale and payment; the Licence Terms prevail on matters relating to rights to use the Software.

4. Essential Characteristics of mcSkinningBee and Its Licences

mcSkinningBee is software intended for use with compatible versions of Autodesk Maya. Its principal functionality, supported Maya versions, compatible operating systems, technical requirements, and known limitations are described on the mcSkinningBee product or download page.

Before ordering, the Customer must review this information and verify that their hardware, operating system, Autodesk Maya version, and production environment are compatible.

A commercial licence grants commercial-use rights for the duration and within the limits stated when ordering. It does not transfer ownership of mcSkinningBee.

Depending on the selected offer, the licence may include:

  • an individual nominative licence;
  • a nominative licence purchased by a studio and allocated to a specified artist; or
  • a floating licence for a specified number of simultaneous users.

The precise rights attached to each category are described in the Licence Terms.

5. Evaluation Before Purchase

mcSkinningBee may be downloaded and evaluated under the non-commercial uses permitted by the Licence Terms.

The Customer is encouraged to test the Software before buying a commercial licence, including with the files, Maya versions, hardware, and workflows they intend to use.

The availability of this evaluation does not limit any mandatory rights available to a Consumer.

6. Ordering Process

To place an order, the Customer must:

  1. select the desired offer and licence type;
  2. provide the information required for invoicing and for the creation and allocation of the licence;
  3. review the order summary, total price, and any applicable taxes;
  4. review these Terms of Sale and the Licence Terms;
  5. expressly accept the required contractual documents;
  6. where applicable, expressly request immediate supply of the digital content and acknowledge the effect of that request on their right of withdrawal; and
  7. confirm the order using a button that unambiguously indicates an obligation to pay.

The Customer can correct input errors before final confirmation of the order.

Bear of Spades may refuse or cancel an order for a legitimate reason, including suspected fraud, a rejected payment, manifestly incorrect information, prior misuse, product ineligibility for the payment service, or a legal inability to fulfil the order.

7. Information Provided by the Customer

The Customer must provide accurate, complete, and current information.

For a nominative licence, the Customer must verify the name and email address of the user to whom the licence will be allocated. For a licence purchased by an organization, the Customer must also provide the necessary information about the licence-holding organization and, where applicable, the designated artist.

The Customer is responsible for the consequences of an error attributable to them. Bear of Spades may nevertheless correct or reassign a licence in the exceptional circumstances described in the Licence Terms.

8. Prices, Taxes, and Currencies

The applicable prices are those displayed before the order is confirmed. Depending on the Customer’s status, location, and the information available, prices may be displayed excluding tax, including tax, or in both forms.

Where a tax-inclusive price cannot be calculated until the Customer provides their location or billing details, the price shown on the product page is an estimate or a clearly identified tax-exclusive price. The final total amount, including applicable taxes and mandatory charges, is presented before the Customer confirms the order.

An estimated location based on an IP address does not by itself definitively establish the Customer’s tax residence or place of taxation. Information supplied during checkout prevails for the final calculation performed by the payment provider.

Payments may be offered in euros or other supported currencies. Where Adaptive Pricing or currency conversion is offered, the final price and currency are displayed before payment.

Bear of Spades may change its prices at any time for future orders. A change does not apply to an order that has already been confirmed.

9. Stripe Managed Payments and Link

Online payments are processed using Stripe Managed Payments and associated services, including Link.

For eligible transactions processed through this service:

  • Stripe Managed Payments or the entity identified at checkout acts as the merchant of record, meaning the entity responsible for processing the transaction;
  • the Customer may see “Sold through Link” or equivalent wording during checkout or on their statement, invoice, or receipt;
  • Stripe or Link may calculate, collect, report, and remit applicable indirect taxes in supported jurisdictions;
  • Stripe or Link may issue receipts, invoices, refund notices, and other transaction-related communications; and
  • Stripe or Link may provide support relating to payment, the transaction, fraud, disputes, and refunds.

Bear of Spades remains the seller and supplier of mcSkinningBee and the licensor of the licence rights. Bear of Spades remains responsible for supplying the product, generating the licence, and providing product-related support.

In jurisdictions or situations not covered by Stripe Managed Payments’ tax-compliance services, taxes are handled according to applicable rules and the information presented before payment.

Use of Stripe and Link services may be subject to their own terms and privacy policies, as presented to the Customer by those services.

10. Payment and Invoicing

The price is payable in full when the order is placed, unless specific written terms have been agreed with a Business Customer.

The licence is not generated or delivered until full payment has been confirmed.

Available payment methods are those displayed by Stripe or Link at the time of the order. Bear of Spades does not guarantee the continued availability of any particular payment method.

An invoice or receipt is sent or made available to the Customer by Stripe, Link, or Bear of Spades, depending on the payment channel used. A Business Customer must provide all required invoicing information, including its legal identity, address, and intra-Community VAT number where it has one.

11. Formation and Confirmation of the Contract

The contract is formed when payment has been accepted and the order confirmed, subject to the absence of fraud or manifest error.

An order or transaction confirmation is sent to the Customer by email or made available by Stripe or Link.

The applicable Terms of Sale and Licence Terms must be provided to the Customer on a durable medium, including by email, downloadable file, or a link that enables their storage and reproduction.

Within the limits established by law and the Privacy Policy, Bear of Spades retains evidence identifying the accepted versions of the terms, the date of acceptance, the order, and delivery of the licence.

12. Licence Delivery and Software Download

After payment is confirmed:

  1. the commercial licence is generated automatically;
  2. the licence file, activation information, or necessary instructions are sent to the email address supplied by the Customer; and
  3. mcSkinningBee is downloaded separately from the official Bear of Spades website or a download service linked from that website.

Delivery is normally immediate and generally occurs within a few minutes after payment confirmation.

This timeframe is indicative and may be affected by payment-method processing, spam filters, an incorrect email address, temporary unavailability, or a reasonable security review.

If the licence or activation information has not been received within a reasonable time, the Customer should check their spam folder and then contact support@bearofspades.com, providing the relevant order references without disclosing sensitive payment-card data.

Bear of Spades will take reasonable steps to verify the order and resend the licence or activation instructions.

13. Licence Duration and Renewal

The commercial licence begins on the order date and remains valid until the expiration date stated at purchase, in the confirmation, or in the licence data.

The exact applicable duration is one of the characteristics of the offer presented before payment.

As of the date of these Terms of Sale, licences are renewed manually. They do not renew automatically, and no further payment is charged automatically for renewal.

After the commercial licence expires, the Customer may continue using mcSkinningBee only under the non-commercial rights permitted by the Licence Terms. A new valid licence is required for continued commercial use.

14. Consumers’ Right of Withdrawal

14.1 General Rule

Subject to the exceptions established by law, a Consumer has fourteen days from the conclusion of the contract to exercise their right of withdrawal without giving a reason.

The Consumer may use the form in the appendix or any unambiguous statement expressing their decision to withdraw. An online withdrawal function is also made available where required by law and where the right remains applicable.

14.2 Immediate Supply and Loss of the Right of Withdrawal

mcSkinningBee and the licence are supplied digitally without a tangible medium. Where the Consumer wishes to receive the licence and access the digital content immediately, before the end of the fourteen-day period, the checkout process separately requests:

  • the Consumer’s prior express consent for supply to begin immediately; and
  • the Consumer’s express acknowledgement that they lose their right of withdrawal under the conditions established by law.

The loss of the right of withdrawal takes effect only if all legal conditions are satisfied and the required confirmation has been provided to the Consumer on a durable medium.

If those conditions have not been validly satisfied, the Consumer retains the rights granted by law.

14.3 Consequences of a Valid Withdrawal

Where withdrawal can validly be exercised, Bear of Spades or the payment provider refunds the amounts due within the statutory period, generally using the same payment method unless the Consumer expressly agrees otherwise without incurring fees.

From the date of withdrawal or termination of the contract, the Consumer must stop all commercial use and any other use that is no longer authorized. The licence may be disabled to the extent permitted by law.

15. Refund Policy

Subject to any applicable right of withdrawal, the statutory conformity guarantee, and any other mandatory right, purchases of commercial licences are final and non-refundable.

A refund is not granted solely because the Customer:

  • did not check the published compatibility information before purchase;
  • did not test the available non-commercial version;
  • changes their mind after validly requesting immediate supply;
  • stops using mcSkinningBee;
  • changes project, hardware, or Maya version; or
  • no longer needs the licence.

This provision does not restrict any statutory Consumer right and does not prevent Bear of Spades from exceptionally offering a goodwill remedy at its discretion.

16. Statutory Conformity Guarantee for Consumers

[!IMPORTANT] Statutory guarantee applicable to digital content

mcSkinningBee is supplied to the Consumer as digital content without a tangible medium through a single act of supply.

The Consumer has two years from the supply of mcSkinningBee to invoke the statutory conformity guarantee if a lack of conformity appears.

During the first year following supply, the Consumer is required to establish only that the lack of conformity exists, rather than the date on which it appeared.

Bear of Spades also provides the updates necessary to maintain conformity for the period the Consumer can reasonably expect, taking account of the nature and purpose of the Software and the circumstances of the contract.

Conformity must be restored without charge, without unjustified delay, and without significant inconvenience to the Consumer. In the circumstances established by law, the Consumer may obtain a price reduction or termination of the contract.

These rights arise under Articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code.

The Consumer also benefits from the statutory guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code. This guarantee may entitle the Consumer to a price reduction or refund under the conditions established by law.

To invoke the guarantee, the Consumer must describe the defect and provide the information reasonably necessary to identify the order. Bear of Spades may request technical information useful for diagnosis, in accordance with the data-minimization principle.

No additional commercial guarantee is provided unless expressly stated when ordering.

17. Updates and Compatibility

Updates and new versions may be made available to commercial and non-commercial users in accordance with the Licence Terms.

Current compatibility information is published on the product or download page. Changes made by Autodesk, operating-system providers, or other third parties may affect the Software’s operation.

For Consumers, nothing in this section limits the obligation to provide updates necessary to maintain conformity for the period required by law.

18. Customer Obligations

The Customer must:

  • comply with these Terms of Sale and the Licence Terms;
  • pay the full amount due;
  • provide accurate information;
  • protect licence files, identifiers, and activation data;
  • not share or redistribute the licence beyond the granted rights;
  • maintain appropriate backups of scenes, files, and productions; and
  • test the Software before using it in a critical production environment.

Prohibited uses, nominative-allocation rules, floating-licence conditions, and suspension mechanisms are described in the Licence Terms.

19. Support, Complaints, and Bug Reports

Questions relating to orders, payments, invoices, delivery, licences, guarantees, and contractual complaints must be sent to support@bearofspades.com.

Questions strictly relating to a transaction handled by Stripe or Link may also be addressed through the support tools indicated on the Customer’s receipt, invoice, or Link account.

General technical assistance and bug reports must be submitted through the official Discord channels identified on the Bear of Spades Contact page.

Except where required by law, purchasing a licence does not guarantee any particular service level, response time, maintenance, correction, or future development.

20. Liability

Each party is liable for direct loss for which it is responsible, within the limits established by law.

The Customer is responsible for backing up files and verifying results before any production use.

To the maximum extent permitted by law, Bear of Spades is not liable for indirect loss, loss of data, production loss, delay, rework, or loss of revenue, profits, opportunities, or reputation resulting from the use of, or inability to use, mcSkinningBee.

For Business Customers only, and to the maximum extent permitted by law, Bear of Spades’ total liability in connection with an order may not exceed the amount excluding tax actually paid by the Customer for the relevant licence during the twelve months preceding the event giving rise to liability.

The exclusions and limitations in this section do not apply where prohibited by law, including in the event of personal injury, gross negligence, or intentional misconduct, or to mandatory Consumer rights.

21. Provisions Specific to Business Customers

21.1 Full Payment Before Delivery

Unless otherwise agreed in writing, every business order is payable immediately and in full. No licence is delivered before payment is received or finally confirmed.

This rule also applies to invoices issued directly or through Stripe’s invoicing functions.

21.2 Late Payment

Where a payment period is exceptionally granted in writing, late payment automatically gives rise, without prior notice, to:

  • interest calculated at the rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points, without falling below the statutory minimum; and
  • a fixed EUR 40 recovery-cost indemnity.

Where actual recovery costs exceed EUR 40, additional compensation may be claimed upon supporting evidence, as permitted by law.

21.3 Set-Off and Withholding

A Business Customer may not defer payment, withhold an amount, or apply set-off without Bear of Spades’ prior written consent or a final decision authorizing it.

22. Suspension and Termination

Bear of Spades may suspend delivery, activation, or commercial-use rights in the event of a rejected, cancelled, or refunded payment, fraud, an abusive dispute, falsified information, or a material breach of these Terms of Sale or the Licence Terms.

Where appropriate, the Customer will be given a reasonable opportunity to remedy the breach.

In the event of a serious, intentional, fraudulent, or repeated breach, suspension or termination may take effect immediately to the extent permitted by law.

Suspension or termination does not affect mandatory Consumer rights or rights and obligations that by their nature should survive.

23. Force Majeure

Neither party is liable for delay or non-performance resulting from an event satisfying the requirements of force majeure under French law.

The affected party informs the other within a reasonable time and takes reasonable steps to mitigate the consequences.

If the impediment continues, either party may terminate the unperformed portion of the contract as permitted by law, without prejudice to any refund due to a Consumer.

24. Personal Data

Data required for ordering, payment, invoicing, delivery, activation, licence validation, fraud prevention, and support is processed in accordance with the Bear of Spades Privacy Policy.

Stripe, Link, and their service providers also process certain data under their own policies and according to their role in the transaction.

The Privacy Policy describes, in particular, the purposes and legal bases of processing, recipients, retention periods, potential international transfers, and data-subject rights.

25. Intellectual Property

The purchase of a commercial licence does not transfer any intellectual-property rights in mcSkinningBee.

The Customer’s rights to use the Software are exclusively those granted by the Licence Terms.

The Customer retains ownership of their own content in accordance with the Licence Terms.

26. Evidence and Record Retention

Electronic records relating to the order, payment, acceptance of contractual documents, delivery, and activation may be used as evidence to the extent permitted by law.

Applicable versions of the Terms of Sale and Licence Terms are identified by their date or version number. The Customer is encouraged to retain a copy with the order confirmation.

Where the law requires a contract concluded electronically above a particular amount to be archived and made accessible, Bear of Spades implements the required measures for the applicable statutory period.

27. Consumer Mediation

The Consumer must first send a written complaint to the Seller at support@bearofspades.com in an attempt to resolve the dispute directly.

If that prior complaint is not resolved amicably, the Consumer may use the following consumer mediator free of charge, subject to the applicable admissibility requirements:

CM2C conducts mediation in French. Consumer mediation does not apply to disputes between businesses. Mediation does not deprive the Consumer of the right to bring proceedings before a competent court.

28. Governing Law and Competent Courts

These Terms of Sale and the resulting contracts are governed by French law.

For Consumers, disputes are subject to the courts having jurisdiction under applicable mandatory rules. Nothing in these Terms of Sale deprives a Consumer of the protection of mandatory provisions of their country of residence where those provisions apply.

For disputes between professionals, and provided that a jurisdiction clause is legally valid between the parties, the competent courts within the judicial district of Pontoise have exclusive jurisdiction, including in cases involving multiple defendants or third-party proceedings.

29. Changes to the Terms of Sale

Bear of Spades may amend these Terms of Sale for future orders.

The version applicable to an order is the version presented and accepted when the Customer placed that order.

A later change does not retroactively amend an order already concluded unless expressly agreed by the parties or required by law.

30. Severability and No Waiver

If a provision of these Terms of Sale is held invalid or unenforceable, it will be limited or interpreted to the minimum extent necessary without affecting the remaining provisions.

Bear of Spades’ failure to enforce a provision on one occasion does not waive the right to enforce that provision later.

31. Language

These Terms of Sale may be provided in French and English.

In the event of a conflict between the French and English versions, the French version prevails, without prejudice to any mandatory rights available to the Consumer.
