mcSkinningBee Software License Terms

These Software License Terms (the “Terms”) govern the download, installation, activation, access to, and use of mcSkinningBee (the “Software”).

mcSkinningBee is a software product developed and published by Maxime Cozic, Entrepreneur individuel (EI), operating under the trade name Bear of Spades (“Bear of Spades”, “Licensor”, “we”, “us”, or “our”).

By downloading, installing, accessing, activating, or using mcSkinningBee, you agree to these Terms.

If you do not agree to these Terms, you must not use the Software.

1. License, Not Sale

mcSkinningBee is licensed, not sold.

Bear of Spades retains all rights, title, and intellectual-property rights in and to mcSkinningBee, including its source code, executable code, user interface, documentation, branding, algorithms, functionality, and other components, except for third-party components identified separately.

No ownership rights in mcSkinningBee are transferred to you under these Terms.

Your rights are limited to the rights expressly granted by these Terms.

2. Ownership of User Content

You retain ownership of the work and content you create using mcSkinningBee.

Bear of Spades obtains no ownership rights merely because mcSkinningBee was used to create or modify your meshes, rigs, scenes, animations, characters, artwork, productions, files, or other content.

3. Default Non-Commercial Use

mcSkinningBee is distributed by default for non-commercial use.

No separate non-commercial license file is required.

Subject to these Terms, you may use mcSkinningBee without purchasing a commercial license for genuine non-commercial purposes, including:

  • personal learning and training;
  • experimenting with or evaluating mcSkinningBee;
  • learning rigging, skinning, animation, or related techniques;
  • personal projects that are not commercial;
  • demos, showreels, portfolios, and personal presentation work;
  • educational work and classroom instruction, including instruction provided by paid teachers or instructors;
  • student work;
  • use by students or teachers enrolled in a school, university, training program, or similar educational program;
  • testing mcSkinningBee before deciding whether to purchase a commercial license; and
  • internal evaluation or testing by a commercial studio or other professional organization, provided the Software is not used for actual commercial production work.

Portfolio, demo-reel, and training work may qualify as non-commercial use even where the user intends to use that work later to seek employment or professional opportunities, provided the work itself is not commercial production work.

4. Commercial Use

A valid commercial license is required whenever mcSkinningBee is used for work that earns, supports, contributes to, or is intended to earn money or other commercial benefit.

Commercial use includes, without limitation:

  • work performed as part of paid employment;
  • work performed by an employee for a studio, company, agency, production house, or other commercial organization;
  • freelance or contract work performed for a client;
  • paid productions;
  • commercial films, animation, visual effects, games, advertising, interactive projects, or other productions;
  • client work;
  • revenue-generating projects;
  • work intended for commercial release or exploitation; and
  • other professional production use.

Whether the individual artist personally receives the revenue from a project is not determinative. If mcSkinningBee is being used as part of commercial or professional production work, an appropriate commercial license is required.

Testing mcSkinningBee inside a commercial organization does not by itself constitute commercial use where the testing is isolated from production and is solely for evaluation purposes.

Teaching or classroom instruction permitted under Section 3 does not become commercial use merely because a teacher or instructor is paid. This exception does not extend to commercial production work performed by an educational institution, teacher, instructor, or student for a client or other third party.

5. Commercial License Duration

Commercial mcSkinningBee licenses are issued for the duration specified at the time of purchase, with a specified expiration date.

A commercial license authorizes commercial use only while that license remains valid.

Unless an auto-renewing option is explicitly offered and expressly selected by the purchaser, licenses do not automatically renew.

When a commercial license expires, mcSkinningBee may continue to be used under the default non-commercial rights described in these Terms, but it may no longer be used commercially until an appropriate commercial license is renewed or purchased.

6. Software Versions and Updates

mcSkinningBee updates and new versions may be made available to both commercial and non-commercial users.

A valid commercial license authorizes commercial use of supported versions of mcSkinningBee during the validity period of that license, including versions released after the license was purchased and before its expiration date.

Expiration of a commercial license does not prevent the user from downloading or using mcSkinningBee for permitted non-commercial purposes.

Current operating-system compatibility, Autodesk Maya compatibility, technical requirements, and supported configurations are described on the mcSkinningBee product or download page.

Compatibility with a particular configuration is not guaranteed merely because a commercial license has been purchased.

7. Nominative Individual Licenses

A nominative license is assigned to one identified individual.

A nominative license may only be used by the individual to whom it is assigned.

The licensed individual may use their nominative license on different computers, workstations, workplaces, or locations as reasonably necessary, provided that they remain the sole authorized user of that license.

A nominative license may not be:

  • shared with another person;
  • simultaneously used by different individuals;
  • transferred;
  • resold;
  • sublicensed;
  • loaned; or
  • assigned to another user.

Bear of Spades may approve corrections or reassignments in exceptional circumstances, such as an incorrect name, incorrect email address, purchasing error, or other legitimate administrative situation.

Any reassignment remains at Bear of Spades' discretion.

8. Studio-Purchased Nominative Licenses

A studio or other organization may purchase nominative licenses for specific artists.

In this case, the purchasing organization is the license holder and the license is allocated to the named artist.

The license remains permanently allocated to that named artist unless Bear of Spades expressly approves a reassignment.

The named artist does not obtain a personal right to sell, transfer, or take ownership of a studio-purchased license.

Studios with frequently changing teams, contractors, shared workstations, or rotating users are encouraged to use floating licenses instead.

9. Studio Floating Licenses

Bear of Spades may offer floating licenses for studios and professional organizations.

Floating licenses are intended for use by authorized employees and contractors of the purchasing organization.

The number of simultaneous users may not exceed the number of floating seats purchased.

Floating licenses are intended for the organization for which they were purchased and may not be shared with unrelated businesses, clients, third-party organizations, or other entities.

The organization is responsible for ensuring that access to its floating licenses is restricted to authorized employees and contractors.

Specific technical or deployment conditions applicable to floating licenses may be provided at the time of purchase.

10. License Activation and Validation

Commercial licenses may require activation.

An internet connection may be required:

  • when activating a license;
  • when renewing or updating license authorization; and
  • periodically for license validation.

mcSkinningBee may communicate with licensing infrastructure operated by or on behalf of Bear of Spades to verify the validity, status, type, assignment, and expiration of a license.

License validation may involve processing limited license and technical information reasonably necessary for validation, such as:

  • license identifiers;
  • license status;
  • license expiration date;
  • mcSkinningBee version;
  • Autodesk Maya version;
  • technical environment information; and
  • machine or device identifiers where reasonably required for licensing purposes.

11. License Abuse and Validation Irregularities

Bear of Spades may investigate suspected license misuse.

Where license validation indicates clearly abusive or impossible simultaneous usage, forged or altered license data, unauthorized sharing, circumvention attempts, or other material violations of these Terms, Bear of Spades may take reasonable measures including:

  • requesting additional validation;
  • temporarily suspending a license;
  • disabling a license;
  • terminating commercial-use rights; or
  • requesting that the license holder contact Bear of Spades to resolve the issue.

Bear of Spades should make reasonable efforts to distinguish legitimate technical errors from intentional misuse.

12. Prohibited Conduct

Except where expressly permitted by mandatory applicable law, you may not:

  • redistribute mcSkinningBee without authorization;
  • sell or resell copies of mcSkinningBee;
  • sublicense the Software;
  • share commercial license files, credentials, keys, activation data, or authorization information;
  • circumvent, disable, defeat, interfere with, or bypass licensing or validation mechanisms;
  • forge, modify, or manipulate license information;
  • reverse engineer mcSkinningBee;
  • decompile or disassemble mcSkinningBee;
  • attempt to obtain or reconstruct its source code;
  • modify mcSkinningBee without authorization;
  • create unauthorized derivative versions of mcSkinningBee;
  • distribute modified versions of mcSkinningBee;
  • remove or alter copyright, trademark, attribution, license, or proprietary notices; or
  • assist another person or organization in doing any of the above.

Nothing in this section is intended to restrict rights that cannot lawfully be restricted under applicable law.

13. Backup and Internal Deployment

You may make reasonable backup or archival copies of mcSkinningBee.

Studios and organizations may also make reasonable internal deployment copies for use by their authorized users.

Such copies remain subject to these Terms and may not be distributed outside the scope of the permitted users or organization.

14. Legal Use

You may use mcSkinningBee only in compliance with applicable laws and regulations.

You are responsible for your use of the Software and for the projects, files, content, and activities in connection with which you use it.

15. Autodesk Maya and Compatibility

mcSkinningBee is designed to operate in conjunction with Autodesk Maya and may depend on functionality, APIs, behavior, file formats, or other technologies provided by Autodesk or other third parties.

Bear of Spades does not control Autodesk Maya.

Changes made by Autodesk or other third parties may affect mcSkinningBee's compatibility or functionality.

Bear of Spades is not responsible for incompatibilities, regressions, removed functionality, API changes, platform changes, discontinued Maya versions, or other third-party changes beyond Bear of Spades' reasonable control.

Users should consult the current mcSkinningBee product/download page for current compatibility information before relying on the Software in production.

16. Third-Party Software

mcSkinningBee may incorporate, link against, or make use of third-party software components, libraries, or technologies.

This includes Geometry Central.

Third-party components remain subject to their respective copyright notices and license terms.

Where required, applicable third-party notices and license texts will be made available with mcSkinningBee, in its distribution package, documentation, website, or an accompanying Third-Party Notices file.

Nothing in these Terms is intended to restrict rights granted directly under an applicable third-party open-source license.

17. Support, Maintenance, and Continued Development

Purchasing a commercial license does not create a contractual guarantee of technical support, maintenance, response time, bug fixes, compatibility fixes, feature development, or future releases.

Bear of Spades may continue to develop mcSkinningBee, improve functionality, provide new versions, and correct bugs, but no particular future update, feature, fix, release schedule, or support level is guaranteed.

Help resources and bug-reporting channels may be made available through the Bear of Spades Discord community or through the contact information identified on the Bear of Spades website.

18. Evaluation Before Purchase

Because mcSkinningBee may be evaluated under its non-commercial terms before purchasing a commercial license, users are strongly encouraged to test the Software before purchase.

Before purchasing a commercial license, you should verify that mcSkinningBee meets your requirements and works adequately with your intended Maya version, operating system, hardware, workflow, files, and production environment.

Purchasing a commercial license primarily grants commercial-use rights for the applicable license period. It does not constitute a promise that the Software will satisfy every particular production requirement.

19. Payments and Refunds

Except where otherwise expressly stated by Bear of Spades or required by applicable law, purchases of commercial licenses are final and non-refundable.

Nothing in these Terms excludes or limits any mandatory right to a refund, withdrawal, price reduction, termination, legal guarantee, conformity remedy, or other remedy that a consumer or other purchaser may have under applicable law.

Where applicable law grants a consumer a statutory withdrawal right, that right applies in accordance with the applicable legal requirements.

Where applicable law permits a consumer's withdrawal right relating to digital content or services to end following the consumer's express request, consent, or acknowledgement, this will apply only where the legally required conditions have been satisfied.

20. No Commercial Warranty

Except for warranties, guarantees, conformity obligations, or other rights that cannot lawfully be excluded, mcSkinningBee is provided “as is” and “as available.”

To the maximum extent permitted by applicable law, Bear of Spades makes no express or implied warranty that mcSkinningBee:

  • will be error-free;
  • will operate without interruption;
  • will meet every user's requirements;
  • will remain compatible with every Maya version;
  • will remain compatible with every operating system or hardware configuration;
  • will preserve every file without error;
  • will produce a particular artistic or technical result;
  • will be suitable for a particular production pipeline; or
  • will continue to be developed indefinitely.

Users remain responsible for maintaining appropriate backups, testing workflows, validating production results, and determining whether the Software is suitable for their intended use.

21. Limitation of Liability

To the maximum extent permitted by applicable law, Bear of Spades and Maxime Cozic shall not be liable for indirect, incidental, special, consequential, or similar damages arising from or relating to the use of, or inability to use, mcSkinningBee.

This includes, without limitation, losses relating to:

  • corrupted or damaged scenes;
  • damaged or lost files;
  • lost data;
  • loss of work;
  • production delays;
  • production interruption;
  • missed deadlines;
  • rework;
  • lost profits;
  • lost revenue;
  • lost business opportunities;
  • business interruption;
  • loss of anticipated savings;
  • loss of goodwill; or
  • incompatibility with software, hardware, pipelines, or third-party services.

Users are responsible for maintaining adequate backups and for testing mcSkinningBee appropriately before deploying it in critical production environments.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including any mandatory rights applicable to consumers.

22. Suspension and Termination

Your rights under these Terms may be suspended or terminated if you materially breach them.

Material breaches may include, without limitation:

  • using mcSkinningBee commercially without an appropriate valid commercial license;
  • intentionally sharing a nominative license;
  • exceeding purchased floating-license capacity;
  • unauthorized redistribution or resale;
  • forging or altering license information;
  • bypassing licensing mechanisms;
  • reverse engineering or unauthorized modification; or
  • assisting others in violating these Terms.

Where appropriate, Bear of Spades may provide the user with an opportunity to correct a breach before termination.

For serious, intentional, fraudulent, or repeated violations, Bear of Spades may suspend or terminate commercial-use rights immediately where permitted by law.

Following termination, the user must cease any use that is no longer authorized.

Termination does not affect rights or obligations that by their nature should survive termination.

Except where required by applicable law, termination resulting from the user's breach does not entitle the user to a refund.

23. Changes to These Terms

Bear of Spades may update or replace these Terms from time to time.

Updated Terms may apply to future downloads, purchases, renewals, licenses, or transactions.

A commercial license already purchased remains governed by the version of the Terms applicable when that license was purchased for the duration of that license, unless:

  • the license holder expressly accepts updated Terms; or
  • a change is required by applicable law.

Renewal of an expired or expiring commercial license may be subject to the Terms in effect at the time of renewal.

24. Acceptance of These Terms

Acceptance of these Terms may be requested at several stages.

You agree to these Terms by downloading, installing, accessing, or using mcSkinningBee.

Bear of Spades may additionally require explicit acceptance:

  • when downloading mcSkinningBee;
  • when mcSkinningBee is first opened or initialized in Autodesk Maya;
  • before purchasing a commercial license;
  • when activating a commercial license; and
  • when renewing a commercial license.

If you are accepting these Terms on behalf of a company, studio, employer, or other organization, you represent that you are authorized to accept the applicable terms on its behalf.

25. Consumers and Mandatory Rights

Nothing in these Terms is intended to deprive consumers of rights that cannot lawfully be waived or excluded.

Where mandatory consumer-protection law conflicts with these Terms, the applicable mandatory provisions prevail to the extent of that conflict.

This includes, where applicable, statutory rights relating to digital content, conformity, remedies, withdrawal, refunds, and consumer dispute resolution.

26. Governing Law

These Terms are governed by French law.

Any dispute relating to these Terms or mcSkinningBee shall be subject to the competent courts determined under applicable law.

Nothing in this section deprives a consumer of mandatory rights relating to jurisdiction, applicable law, or consumer protection that cannot lawfully be waived.

27. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary to make it enforceable where possible.

The remaining provisions will continue in effect.

28. No Waiver

Failure by Bear of Spades to enforce a provision of these Terms on one occasion does not constitute a waiver of the right to enforce that provision or another provision later.

29. Entire Agreement

These Terms, together with any applicable purchase conditions, Privacy Policy, Third-Party Notices, and specific licensing conditions presented at the time of purchase, constitute the applicable agreement concerning the licensing and use of mcSkinningBee.

If specific written commercial licensing terms agreed between Bear of Spades and a customer conflict with these general Terms, the specifically agreed terms prevail with respect to that customer and transaction.

30. Language

These Terms may be provided in both English and French.

In the event of a conflict or inconsistency between the French and English versions, the French version shall prevail.

31. Official Distribution and Purchases

The only official source for downloading mcSkinningBee is the Bear of Spades website at www.bearofspades.com, including download services directly operated by or linked from that website.

Commercial licenses may be purchased only through the Bear of Spades website, through an official checkout or payment page linked from that website, or through another purchasing method expressly authorized in writing by Bear of Spades.

Copies, download links, license keys, or commercial licenses offered through any other source are unauthorized unless Bear of Spades has expressly confirmed otherwise in writing.

Bear of Spades cannot guarantee the authenticity, integrity, security, validity, or availability of copies or licenses obtained from unauthorized sources.

Nothing in this section prevents the backup copies or internal deployment permitted under these Terms.
